Terms & Conditions

Last updated: January 2025
TL;DR: You pay us to build/optimize your website. We deliver quality work. We both act like professionals.

The Basics

When you hire Misaka Networks:

  • You're hiring us to provide web development, SEO, or related services
  • We agree to do the work professionally and on time
  • You agree to pay us the agreed amount
  • We both agree to communicate clearly and honestly

That's it. Everything else below is just details to make sure we're on the same page.

Our Services

We offer:

  • Speed & SEO Overhaul: Website rebuilds with Astro.js ($16k-$25k, 4-6 weeks)
  • Ongoing SEO Growth: Monthly SEO retainer ($3.5k-$6k/month, 6-month minimum)
  • Local SEO Domination: Google Maps optimization ($2k-$4k/month)
  • AI to Production: Clean up AI-generated code ($12k-$30k)

Each project includes a detailed proposal outlining: scope, timeline, deliverables, pricing, and payment terms. You approve it before we start.

Payment Terms

How We Process Payments:

  • Payment processor: We use Stripe for all payments (industry-standard, secure)
  • Accepted methods: All major credit/debit cards (Visa, Mastercard, Amex, Discover, UnionPay)
  • Currency: All prices in USD (US Dollars)
  • Security: Stripe handles all payment info. We never see or store your credit card details.
  • On your statement: Charges appear as "MISAKA NETWORKS" or "STRIPE*MISAKA"

For Project-Based Work (Website Rebuilds, AI Cleanup):

  • 30% deposit to start work (paid via Stripe invoice)
  • 30% at midpoint (usually when design is approved)
  • 40% on completion (before we hand over files/access)

For Monthly Services (SEO):

  • Billed on the 1st of each month via Stripe
  • Payment due within 7 days
  • Auto-billing available (optional, recommended)
  • 6-month minimum commitment
  • Cancel anytime after 6 months with 30 days notice

Late payments: If you're more than 14 days late, we pause work until payment is received. No exceptions.

Refund Policy

Project-based work:

  • Before work starts: Full refund of deposit (minus $500 admin fee)
  • After work starts: No refund. We've already invested time and resources.
  • Milestone payments: You review work at each milestone. If you're unhappy, we discuss and fix it before moving forward.

Monthly services:

  • No refunds for monthly retainers (you're paying for ongoing work)
  • If we're not delivering, cancel with 30 days notice (after 6-month minimum)
  • We provide monthly reports - if you're unhappy, tell us and we'll fix it

Why no refunds after starting? Because we invest significant time upfront (discovery, research, strategy). If you cancel mid-project, we've already done work we can't "un-do."

Refund processing: All refunds are processed through Stripe and typically appear in your account within 5-10 business days (depending on your bank).

Timelines & Delays

We provide realistic timelines. But sometimes things happen:

  • Our delays: If we're late (and it's our fault), we'll tell you why and give you a new timeline
  • Your delays: If you're slow providing content, feedback, or approvals, the timeline extends
  • Scope changes: If you add new features mid-project, timeline and pricing adjust

Communication is key. If there's a delay, we'll tell you immediately.

Ownership & Rights

After final payment:

  • You own: Your website, content, custom code, design files
  • We own: Our processes, frameworks, reusable components, and any pre-existing tools
  • You can: Modify, update, or hire someone else to maintain your site
  • You can't: Resell our code as a template or claim you built it

Before final payment: We own everything until you've paid in full. We'll hand over files/access after the final invoice is paid.

What We Guarantee (and Don't)

We guarantee:

  • Quality work following industry best practices
  • Fast websites (0.5-1 second load times with Astro.js)
  • Proper technical SEO implementation
  • Transparent reporting and communication
  • 30-day bug fixes after launch (for project work)

We DON'T guarantee:

  • Specific rankings: SEO takes time. We can't promise "#1 on Google in 30 days" (anyone who does is lying)
  • Specific traffic numbers: We'll grow your traffic, but can't predict exact numbers
  • Conversions: We optimize for conversions, but can't control if people buy from you

What we do: Build fast sites, implement SEO properly, and track results transparently. The rest depends on your market, competition, and product.

Confidentiality & NDAs

Your business is your business:

  • We won't share your project details, code, or business information with anyone
  • We won't publicly showcase your project without permission
  • If you need an NDA, we'll sign it (no problem)
  • Our team signs confidentiality agreements

Exception: We may show anonymized metrics in case studies ("E-commerce store, +250% revenue") with your permission.

Liability & Disclaimers

We do our best, but we're human:

  • Bugs happen: We test thoroughly, but if there's a bug post-launch, we'll fix it (30 days free fixes)
  • Third-party issues: If Cloudflare, Google, or another service goes down, that's not on us
  • Maximum liability: Our liability is limited to the amount you paid us
  • Backups: We keep backups, but YOU should too (always have your own backup)

In plain English: If something goes wrong, we'll fix it. But we're not responsible for indirect damages (lost revenue, etc.).

Termination

You can terminate:

  • Project work: Before work starts (deposit refund minus $500 fee). After work starts, no refund.
  • Monthly services: After 6-month minimum, with 30 days notice

We can terminate if:

  • You don't pay invoices (14+ days late)
  • You're abusive to our team
  • You ask us to do something illegal or unethical

If we terminate, you get a prorated refund for work not yet done (project work only).

Changes to Terms

We may update these terms occasionally. If we do:

  • We'll update the "Last updated" date
  • We'll email active clients about major changes
  • Existing projects continue under the old terms
  • New projects use the updated terms

Disputes

If we disagree about something:

  1. Talk to us first: Most issues can be solved with a conversation
  2. Mediation: If that doesn't work, we'll try neutral mediation
  3. Arbitration/Legal: Last resort. We'd rather not go here.

Governing law: These terms are governed by the laws of China (where we're based), but we follow international best practices.

Questions About These Terms?

If something's unclear, just ask:

We're real people who speak normal English. We'll explain anything that's confusing.
